Terms of Service

Agreement to Terms

By accessing or using the services provided by ARK Automation ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

ARK Automation provides operational automation consulting and implementation services. The specific scope, deliverables, and pricing for any project will be defined in a separate Statement of Work or service agreement between you and ARK Automation.

Intellectual Property

Unless otherwise specified in a separate agreement:

  • You retain ownership of your data, content, and existing intellectual property that you provide to us.
  • Custom automations and workflows we create specifically for your project become your property upon full payment.
  • We retain ownership of our pre-existing tools, methodologies, and general knowledge that we may use in delivering services.

Payment Terms

Payment terms will be specified in your service agreement. Generally, we require a deposit before beginning work, with the balance due upon completion or according to a milestone schedule. Late payments may incur additional fees as specified in your agreement.

Confidentiality

We agree to keep confidential any proprietary information you share with us in the course of our engagement. This includes business processes, data, and technical specifications. We will not disclose this information to third parties without your consent, except as required by law.

Limitation of Liability

To the maximum extent permitted by law, ARK Automation shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services. Our total liability for any claims arising from our services shall not exceed the amount you paid us for the specific services giving rise to the claim.

Warranties

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a reasonable warranty period (as specified in your service agreement) to address any defects in our deliverables. Beyond this, services are provided "as is" without additional warranties.

Termination

Either party may terminate a service engagement according to the terms specified in the applicable service agreement. Upon termination, you remain responsible for payment of services rendered through the termination date.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved in the courts of Georgia.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of any material changes by posting the updated terms on this page. Your continued use of our services after such changes constitutes acceptance of the new terms.
